Terms of Service

These terms govern your use of the Terra Nova Limited Partner Portal (the “Portal”).

1. Eligibility

The Portal is available only to persons who have been invited by Terra Nova. By creating an account or continuing to use the Portal, you confirm that you have been authorized to access it.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Terra Nova promptly if you suspect unauthorized access to your account.

3. Acceptable use

You agree not to:

• Share your credentials or allow anyone else to access the Portal under your account
• Access, copy, or redistribute any document in the Portal other than for your own use
• Attempt to circumvent access controls, probe for vulnerabilities, or interfere with the operation of the Portal
• Use the Portal for any unlawful purpose

4. Confidentiality

All information accessible through the Portal is confidential. You may not disclose Portal contents to any third party without prior written consent from Terra Nova.

5. No investment advice

Content on the Portal — including LP letters, capital statements, fund financials, and portfolio updates — is provided for informational purposes only. Nothing in the Portal constitutes investment advice, an offer to sell, or a solicitation to buy any security.

6. Intellectual property

All content, software, and design elements of the Portal are the property of Terra Nova or its licensors. Your access does not grant you any ownership rights in the Portal or its contents beyond what is necessary to view your own investor documents.

7. Availability and disclaimer

The Portal is provided “as is” without warranty of any kind, express or implied. We do not guarantee uninterrupted or error-free availability, and we reserve the right to suspend or modify the Portal at any time. To the maximum extent permitted by law, Terra Nova and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of, or inability to use, the Portal.

8. Termination

We may suspend or terminate your access to the Portal at any time and for any reason, including if we reasonably believe these terms have been breached. Upon termination, your right to access the Portal ceases immediately.

9. Changes to these terms

We may update these terms from time to time. When we do, we will update the version and date at the top of this page. Continued use of the Portal after an update is posted constitutes acceptance of the updated terms.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to your use of the Portal shall be brought in the state or federal courts located in Delaware.

11. Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
